Terms of Service

1. About these Terms

These Terms of Service ("Terms") are a binding agreement between you and Primesoft International, trading as Vidyora ("Vidyora", "we", "us", "our"), the operator of the Vidyora application, website, and related services (together, the "Service"). Vidyora is built and operated by Primesoft International.

By creating an account, subscribing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

2. What Vidyora is

Vidyora is a paid AI-assisted reading app. It offers a library of free, public-domain, and openly licensed books, an in-app reader, and AI "mentors" and "sages" you can chat with. Each book mentor answers using the contents of its own book and cites the passages it draws from; category sages answer across a curated set of books. AI answers are generated on demand and are informational only (see Section 11).

3. Eligibility and age

  • The Service is intended for adults aged 18 and over. By using the Service you represent that you are at least 18 years old (or the age of majority in your jurisdiction, if higher) and are legally able to enter into these Terms.
  • The Service is not directed to children and we do not knowingly collect data from anyone under 18. If we learn that a person under 18 has created an account, we may suspend or delete it.
  • If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Your account

  • You need an account (registered with an email address) to chat with mentors, subscribe, or buy credits. You are responsible for keeping your login credentials confidential and for all activity under your account.
  • You agree to provide accurate information and to keep it current. Notify us at primsoftintel@gmail.com if you suspect unauthorized use of your account.
  • We authenticate accounts using tokens issued to your device. You may sign out at any time; signing out on all devices may require changing your credentials.
  • You may delete your account at any time from within the app (Account settings) or via our account-deletion page. Deletion is described in Section 10 and in the Privacy Policy.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or in violation of these Terms or any applicable law;
  • attempt to bypass, disable, or interfere with credit metering, rate limits, billing, security, or authentication (including sharing, reselling, or automating access to credits or accounts);
  • probe, scan, scrape, overload, or reverse-engineer the Service, its APIs, or the underlying AI systems, except to the limited extent such restriction is prohibited by law;
  • use the Service to generate, request, or distribute content that is illegal, infringing, harassing, hateful, sexually exploitative of minors, or that facilitates violence or serious harm;
  • submit prompts designed to extract other users' data, our confidential material, or provider credentials, or to make the AI ignore its safety and citation constraints;
  • upload or transmit malware, or use the Service to infringe any third party's intellectual property or privacy rights.

We may investigate suspected violations and take action including warning, throttling, suspending, or terminating your access (see Section 10).

6. Subscriptions, credits, and billing

6.1 Credits and how they are spent

The Service runs on credits. Every message you send to a mentor costs 1 credit. Every account also receives a daily free allowance of 30 credits, which refreshes each day (UTC) and does not roll over. Once your free allowance is used, messages draw from your wallet balance (subscription credits and credit packs). If a message fails to produce an answer (for example due to a provider outage), the credit for that message is automatically refunded.

6.2 Scholar subscription

Our paid plan, Scholar, grants a block of credits for each 30-day cycle while active (currently 1,500 credits per cycle, on top of your daily free allowance), plus the plan perks described on the Pricing page. Scholar is offered on monthly, quarterly, and yearly billing cycles. Current prices (which we may change under Section 6.7) are:

You may hold only one active subscription at a time; starting a new subscription or changing cycle replaces the previous one.

6.3 Credit packs

You can also buy one-off credit packs without a subscription. Current packs are Spark (100 credits, ₹149), Bundle (550 credits, ₹599), and Library (1,200 credits, ₹1,099). Purchased credit-pack credits do not expire. Subscription-cycle credits are granted per active cycle as described above.

6.4 Payments via Razorpay

All payments are processed by our payment provider, Razorpay Software Private Limited ("Razorpay"), in Indian Rupees (INR). Any USD figures shown are for display only; you are charged the INR amount. When you pay, you provide your payment details directly to Razorpay under Razorpay's own terms and privacy policy; we do not receive or store your full card or bank details. We receive a confirmation and a transaction reference to activate your plan or credits. You authorize us and Razorpay to charge your selected payment method for the amounts shown at checkout, plus any applicable taxes.

6.5 Renewal, auto-renewal, and cancellation

  • Each Scholar billing cycle is charged as a discrete transaction through Razorpay. Each Scholar plan is billed for the cycle you choose and does not automatically renew: your plan runs to the end of its paid cycle and then expires unless you purchase a new cycle. If we later enable automatic recurring billing, we will update these Terms to explain that your plan renews automatically at the then-current price until you cancel, and how to cancel before renewal.
  • You can stop a subscription at any time from your Account settings or by contacting primsoftintel@gmail.com. On cancellation (or expiry) you keep any credits already granted for the current cycle and any unexpired credit-pack credits; no further cycle credits are granted.
  • We do not provide pro-rated refunds for the unused portion of a cycle except as required by law or as set out in Section 6.6.

6.6 Refunds

  • Digital credits and subscription access are delivered immediately, so all sales are generally final and non-refundable, except where a refund is required by applicable consumer-protection law, or where these Terms or our published pricing/refund terms provide otherwise.
  • If you were charged in error, charged more than once for the same purchase, or paid but did not receive the corresponding credits or plan access, contact us at primsoftintel@gmail.com within [REFUND WINDOW -- PLACEHOLDER, e.g. 7 days] of the charge and we will investigate and, where appropriate, issue a correction or refund through Razorpay to the original payment method.
  • Refund processing timelines are governed by Razorpay and your bank.
  • Statutory withdrawal/cooling-off rights, where they apply (for example for certain EU/UK consumers), are unaffected by this Section; note that by starting to use digital credits immediately you may consent to begin performance and thereby waive a cooling-off right to the extent permitted by law.

6.7 Price and plan changes

We may change prices, plan contents, credit costs, and free allowances. Changes to an active subscription's price take effect from your next cycle, and we will give notice as required by law. Continuing to use the Service after a change takes effect means you accept it.

6.8 Taxes

Prices may be exclusive or inclusive of taxes as indicated at checkout. You are responsible for any taxes, duties, or levies associated with your purchase, other than taxes on our income.

7. Intellectual property

7.1 Vidyora content

The Service itself -- including its software, design, branding, "Vidyora" name and logo, mentor and sage personas, curation, categories, and other original materials we create -- is owned by Vidyora or its licensors and is protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial reading and learning while you comply with these Terms. No other rights are granted.

7.2 Books and licensing

The books available in the Service are public-domain, Creative Commons or otherwise openly/officially licensed works. Public-domain works are free of copyright; Creative Commons and other openly licensed works remain subject to their respective licenses, and your use of a book's text must comply with that book's license (including any attribution requirements). We do not claim ownership of the underlying public-domain or third-party-licensed texts. If you believe a work has been included in error or that your rights are infringed, contact primsoftintel@gmail.com and we will review and, where appropriate, remove it.

7.3 Your content (chat and inputs)

You retain ownership of the messages, prompts, and other content you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your User Content solely to operate and provide the Service -- including sending your messages and relevant book excerpts to the AI providers listed in Section 8 to generate mentor answers, maintaining your conversation history, and providing support, security, and abuse prevention. You are responsible for your User Content and represent that you have the rights to submit it. Please do not submit content you are not permitted to share, and avoid submitting sensitive personal information in chat (see Section 11 and the Privacy Policy).

7.4 AI output

Subject to these Terms and to the rights of the underlying book authors and licensors, we do not claim ownership of the AI-generated answers returned to you, and you may use them for your personal, lawful purposes. Because answers are generated from and cite licensed and public-domain book content, any reuse of substantial book excerpts must still respect the source work's license and applicable copyright law. AI output may be non-unique -- similar answers may be generated for other users -- and is provided subject to the disclaimer in Section 11.

8. AI and third-party services

Vidyora relies on third parties to deliver the Service. By using the Service you acknowledge that data is processed by these providers as needed to provide it:

  • AI mentor answers are generated using third-party large-language-model providers. Your messages and relevant book excerpts are transmitted to one or more of these providers to produce answers.
  • Search/embeddings for finding relevant passages use established third-party search and embedding providers.
  • Payments are processed by Razorpay.
  • Hosting and infrastructure are provided by reputable third-party cloud, database and content-delivery providers.

These providers have their own terms and privacy policies, and we are not responsible for their acts or omissions. The set of providers may change; the Privacy Policy reflects the current list and the purposes for which data is shared. We do not permit our AI providers to use your inputs to train their models except as described in the Privacy Policy; [AI TRAINING -- PLACEHOLDER: confirm with legal that provider contracts/terms prohibit training on your inputs before making this a firm commitment.]

9. Availability and changes to the Service

We may add, change, suspend, or discontinue features, books, mentors, plans, or the Service as a whole, at any time. We may impose usage limits (such as daily message and rate limits) to keep the Service reliable and to prevent abuse. We aim for high availability but do not guarantee the Service will be uninterrupted or error-free.

10. Suspension and termination

  • You may stop using the Service and delete your account at any time (in-app or via the account-deletion page).
  • We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, to protect the Service or other users, or if we discontinue the Service.
  • On termination, your right to use the Service ends. We will handle your data on deletion as described in the Privacy Policy: your account, chat history, and associated User Content are deleted, while certain records (such as transaction and billing records held by us or Razorpay) may be retained where required for security, fraud prevention, accounting, tax, or legal compliance.
  • Sections that by their nature should survive termination (including Sections 6.6, 7, 11, 12, 13, and 15) survive.

11. AI-output disclaimer -- not professional advice

  • AI mentor and sage answers are generated automatically and may be inaccurate, incomplete, outdated, or misleading, even when they cite book passages. Citations indicate the source drawn upon, not a guarantee of correctness.
  • Answers are provided for general information and learning only and are not professional advice. They are not a substitute for qualified medical, legal, financial, psychological, safety, or other professional guidance. Do not rely on AI answers for decisions that require professional judgment, and always verify important information independently.
  • The Service may discuss content from the books it draws on; the views expressed in those books are the authors' and not Vidyora's.
  • Free-text chat means you may inadvertently submit sensitive information. Please avoid entering health, financial, or other sensitive personal data in chat; see the Privacy Policy for how such data is handled.
  • You are solely responsible for how you use AI output.

12. Disclaimers and limitation of liability

  • "As is". To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the Service or AI output will be uninterrupted, secure, or error-free.
  • Limitation of liability. To the maximum extent permitted by law, Vidyora and its team, suppliers, and providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or reputation, arising out of or relating to your use of (or inability to use) the Service or any AI output, even if advised of the possibility of such damages.
  • Cap. To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the total amounts you paid to us for the Service in the [LIABILITY CAP PERIOD -- PLACEHOLDER, e.g. 12 months] before the event giving rise to the claim, or (b) [MINIMUM CAP -- PLACEHOLDER, e.g. INR 5,000 / USD 50].
  • Statutory rights. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including certain consumer-protection rights. Where such laws apply, our liability is limited to the minimum extent permitted.

13. Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Vidyora and its team from claims, damages, and reasonable expenses arising out of your misuse of the Service, your violation of these Terms or applicable law, or your infringement of any third party's rights.

14. Governing law and disputes

These Terms are governed by the laws of the laws of India, without regard to conflict-of-laws rules, and the courts of [VENUE / JURISDICTION -- PLACEHOLDER, e.g. Bengaluru, Karnataka, India] will have exclusive jurisdiction, except where mandatory local consumer-protection law in your country of residence gives you the right to bring proceedings in your local courts, which right is unaffected. 15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example in-app or by updating the effective date at the top and, where required, by email). Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes take effect means you accept the updated Terms; if you do not agree, stop using the Service and delete your account.

16. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements on that subject.
  • Severability. If any provision is found unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce a provision is not a waiver.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
